Terms of Service

These terms govern your use of Axegem — the web application at app.axegem.com, the Axegem app for Shopify, and related services (together, the “Service”) — provided by PK-INT UG (haftungsbeschränkt), c/o Factory Works GmbH, Rheinsberger Straße 76/77, 10115 Berlin, Germany (“Axegem”, “we”). By installing the app or creating an account you agree to these terms.
1. The Service
Axegem audits how AI assistants present your store and products, detects inaccurate AI claims, helps you fix product-data gaps and publish corrections and content, and attributes AI-referred orders.
The Service is offered exclusively to businesses — entrepreneurs (Unternehmer) within the meaning of Sec. 14 of the German Civil Code (§ 14 BGB) acting in the exercise of their trade, business, or profession — and their authorised staff. The Service is not offered to consumers. By installing the app or creating an account you confirm that you are acting as a business.
2. Accounts and access
You are responsible for the accuracy of the information you provide and for keeping your access credentials secure. For Shopify merchants, access is governed by your Shopify store's staff permissions; installing the app grants Axegem the API permissions shown during installation.
3. Plans, credits, and billing
Paid features are metered in credits. Subscription plans grant a monthly credit allowance; one-time credit packs can be purchased as top-ups. Credits do not expire — cancelling a subscription stops future allowances but does not remove credits already granted.
For Shopify merchants, subscriptions and packs are billed through Shopify Billing and appear on your Shopify invoice. For non-Shopify customers, payments are processed by Stripe. If you enable the optional auto top-up, credit refills are billed as usage charges under a spending cap you approve in Shopify; auto top-up is off by default and can be turned off at any time. All prices are stated in US dollars (USD) and all charges are billed in USD; prices are net prices and exclude VAT, which is added where applicable, and are shown before purchase.
Credit refunds for failed operations. An operation fails when it does not complete and produces no result — for example, a scan that cannot run or a fix that cannot be applied. Credits charged for a failed operation are automatically returned to your credit balance. This credit refund is automatic and does not require a request.
Monetary refunds and cancellation.You can cancel a subscription at any time with effect from the end of the current billing period; you keep the credits already granted, as set out above. Monetary refunds of subscription fees or pack purchases are processed through the platform that billed you — Shopify Billing for Shopify merchants, Stripe for other customers — under that platform's refund mechanics and applicable law. 4. Changes to your store content
The Service only modifies your store content (product descriptions, pages, metadata) when you approve a change or explicitly enable an automatic-fix option, which is limited to safe, deterministic data fills and can be reverted. You remain responsible for the content of your store, including content you approve or publish through the Service.
5. Acceptable use
You may not use the Service to publish unlawful, misleading, or infringing content; to audit or modify stores you are not authorised to manage; to circumvent usage limits or metering; or to interfere with the operation of the Service.
6. Third-party platforms and AI engines
The Service depends on third parties we do not control — including Shopify, WordPress, and the AI engines we query (OpenAI, Anthropic, Perplexity, Google). We do not guarantee their availability, and we do not control and cannot guarantee how AI assistants rank, describe, or recommend your products. Metrics in the Service are measurements, not promises: attribution figures are floors, not totals, and visibility results are trend-level samples.
7. Intellectual property
We own the Service and its software. You own your store content and the materials you provide, and you grant us the licence needed to process them to provide the Service — including submitting store content and queries to the AI engines used for audits. Content drafted by the Service becomes part of your store content once you publish it.
8. Warranties and liability
The Service is provided “as is” without warranties of specific commercial outcomes (such as rankings, recommendation rates, traffic, or revenue).
We are liable without limitation for intent and gross negligence and under mandatory law (including injury to life, body, or health). For ordinary negligence we are liable only for breaches of essential contractual obligations, limited to the foreseeable damage typical for this type of contract; in all other respects our liability is limited to the fees you paid for the Service in the twelve months before the event giving rise to the claim.
9. Termination, data export, and switching
You can stop using the Service at any time by cancelling your subscription, closing your account, or uninstalling the Shopify app — no notice period beyond the current billing period, and no termination or switching fee. Uninstalling triggers deletion of your shop data (see the Privacy Policy). We may suspend or terminate access for material breach of these terms.
Before or upon termination you can export your data held by the Service — audit results, fix history, generated content, and attribution reports — in a commonly used, machine-readable format (CSV or JSON) from within the app, or by requesting it at support@axegem.com. The export remains available for 30 days after termination, after which remaining data is deleted under the retention rules in the Privacy Policy. Content already published to your store is yours and stays in your store regardless of termination.
10. Changes to these terms
We may update these terms when the Service or legal requirements change. For material changes we will give reasonable notice (for example, in the app or by email). Continued use after the effective date constitutes acceptance.
11. Governing law
These terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a merchant (Kaufmann) or have no general place of jurisdiction in Germany, the courts of Berlin have jurisdiction.
